Our attorneys in the Intellectual Property and Technology Practice Group handle a broad range of transactional and counseling work in technology and intellectual property rights. This includes intellectual property audits, counseling arising from departing employees and related intellectual property matters, and the negotiation and documentation of all forms of intellectual property transactions and arrangements, including matters related to computers, website development, hosting agreements, computer software, technology transfers and licensing, and business outsourcing matters like credit card processing and fulfillment, online regulated industries, channel or portal arrangements, strategic alliances and cooperative advertising, linking and co-branding agreements, research and development agreements, joint venture agreements, technology transfers, asset assignments and purchases.

At Adorno & Yoss, we have also counseled clients on the potential value and feasibility of certain intellectual property assets in venture capital and other private equity formation transactions, mergers and acquisitions and bankruptcy or distressed property work-outs and restructurings.

We provide counseling and litigation representation dealing with the inter-relationship between intellectual property laws and trade laws. We have experience in trademark counseling and in prosecution, registration and litigation, both domestic and international, and related unfair competition counseling and litigation.
